General Terms and Conditions

 

I. General Provisions

  1. This document establishes the terms and conditions governing commercial transactions between Katoa Unipessoal Lda, headquartered at Rua Dr. Manuel Ramos, 285, Pavilhão E, 4415-456 Grijó, and its customers. By making any purchase from Katoa, the customer fully agrees to these conditions.
  2. The provisions described here apply to all sales of lighting products manufactured and marketed by the company unless there is a specific written agreement stipulating different conditions.
  3. Katoa reserves the right to modify, without prior notice, the technical specifications, design, dimensions, and prices of its products, as well as to discontinue any model.
  4. Since each project may have specific characteristics and needs, it is the customer’s responsibility to evaluate and validate essential aspects of the products (such as IP, IK, Insulation Class, among others) to ensure their suitability.

 

II. Orders

  1. Placing an order implies full acceptance of these terms of sale.
  2. All orders must be formalized in writing and will only be considered valid after Katoa issues a confirmation to the customer.
  3. Before placing an order, the customer must ensure that the equipment, references, and prices are correct.
  4. Changes or cancellations of orders will only be accepted within a maximum period of three business days after receiving the order confirmation.
  5. Requests for changes or cancellations made later will be subject to penalties ranging from 20% to 80% of the product value, depending on the possibility of resale.
  6. Custom-made products cannot be canceled or returned.

 

III. Prices and Payments

  1. Prices are expressed in euros (€) and do not include applicable taxes and legal fees.
  2. In case of price changes during the year, the applicable values will be those in effect on the date of order receipt.
  3. Price lists are valid only for the current year. If an update is required, the customer will be notified by email.
  4. The first supply will only be made after successful payment collection.
  5. Payment conditions for custom-made products:
    • 50% upon order confirmation
    • 50% before shipping
  6. Credit granting will be assessed on a case-by-case basis, subject to a formal request from the customer.
  7. Katoa retains ownership of the supplied products until full payment has been received.

 

IV. Delivery and Transport

  1. All products marketed by Katoa are manufactured to order.
  2. Delivery times are estimated and may change due to external factors such as raw material shortages, supplier delays, or transportation disruptions.
  3. Katoa may make partial deliveries, unless otherwise agreed in writing.
  4. The customer covers the transport cost for orders below €100 net. Above this value, transport is covered by Katoa, unless otherwise agreed.
  5. The transport service does not allow delivery time scheduling. Katoa will attempt two deliveries, after which an additional shipment fee will be charged.
  6. If the customer requests delivery through their own carrier, the goods travel at the customer’s risk.
  7. Upon delivery, the customer must inspect the products, sign the corresponding documentation, and report any irregularities immediately. Claims related to transport damages must be submitted within 48 hours.

 

V. Warranty and Claims

  1. The warranty covers manufacturing defects, provided the product has been correctly installed and used.
  2. If a product is defective, it must be returned to Katoa for analysis, repair, or replacement. Unauthorized interventions void the warranty.
  3. For defects identified during installation, the customer must immediately inform Katoa in writing.
  4. Claims regarding transport damages must be made within 48 hours, and recorded on the delivery documents. Otherwise, the goods will be considered correctly delivered, and later claims will not be accepted.
  5. Out-of-warranty or misused products can be repaired with a prior quote submitted for customer approval.
  6. The customer bears the transport costs for defective products.
  7. Products have a warranty period ranging from 1 to 5 years, as indicated in the warranty conditions.

 

VI. Returns and Cancellations

  1. Since products are made to order, Katoa does not accept returns, except in exceptional cases authorized in writing.
  2. Accepted returns will be subject to a penalty of at least 30% of the original value, depending on resale feasibility.
  3. Returned products must be in perfect condition, with original packaging intact. Otherwise, additional penalties may apply.
  4. Returns are accepted within 30 days from the invoice date.
  5. Return shipping costs are the customer’s responsibility.

 

VII. Liability Limitation

  1. Katoa’s liability is limited to its products and services, excluding compensation for indirect damages, lost profits, or third-party claims.
  2. In case of proven liability, compensation will not exceed the insured amount or, at most, the invoiced amount.
  3. Product installation and use must comply with applicable regulations; otherwise, Katoa assumes no responsibility.

 

VIII. Force Majeure

  1. Katoa shall not be liable for failures due to unforeseen circumstances, including natural disasters, conflicts, strikes, raw material shortages, or legal restrictions.
  2. If these circumstances persist for over 180 days, the customer may cancel the order by written notification.

 

IX. Applicable Law and Jurisdiction

  1. Any legal disputes shall be handled by the Judicial Court of Vila Nova de Gaia.
  2. Under Law No. 144/2015, in case of a dispute, the customer may contact the National Consumer Conflict Information and Arbitration Center (CNIACC).

 

X. Data Protection (GDPR)

  1. Katoa complies with the General Data Protection Regulation (GDPR), ensuring confidentiality and transparency in processing customer information.
  2. Public sharing or disclosure of Katoa’s price list is not allowed.

Warranty Terms and Conditions

 

The warranty conditions described below apply to products – luminaires and components – designed and sold by Katoa Unipessoal Lda, with registered office at Rua Dr. Manuel Ramos, 285, Pavilhão E, 4415-456 Grijó.

 

I. Scope of Warranty

 

  1. The product warranty covers manufacturing defects or non-conformities that result in malfunction or failure, provided that:
    • The products are installed correctly and operated according to the instructions and applicable regulations;
    • Ambient temperature, humidity, ventilation, and voltage conditions comply with the specified technical parameters.

 

II. Warranty Period

  1. The warranty period starts from the invoice issuance date.
  2. The coverage period is defined as follows:
    Luminaires Warranty
    LED Technology (Lifetime) ≥ 50.000 hours 5 years
    Between 25.000 e 50.000 hours 3 years
    < 25.000 hours 2 years

     

  3. If any product has a different warranty period, this indication will be expressed in the corresponding technical sheet, prevailing over the general conditions described here.
  4. These conditions apply exclusively to standard products from the Katoa catalogue, excluding special or customised products according to specific customer requests, the guarantee for which will be defined separately by written agreement.

 

III. Warranty Conditions

  1. Products must be powered by Katoa-supplied energy sources.
  2. The installation and use of the products must strictly follow the instructions provided by Katoa, including technical data sheets, installation instructions and information contained on the product labels.
  3. In the case of products with LED technology:
    • Operating time must not exceed 5,000 hours per year;
    • If it is necessary to replace LED modules during the warranty period, visible differences may occur in terms of brightness, color temperature or other photometric properties when compared to luminaires already in use.
  4. The customer is responsible for removal, reinstallation, and transport costs for defective products.
  5. Considering the conditions of use and factors such as UV exposure, cleaning agents, humidity and temperature variations, wear and tear and progressive deterioration of materials over time are considered normal.
  6. Due to the LED production process, slight variations in color and light intensity may occur within the same MacAdam Ellipse, with this effect being more noticeable in cool white and warm white tones.

 

IV. Warranty Exclusions

 

  1. The warranty does not cover:
    • Consumables subject to natural wear and tear such as lamps, starters, batteries, etc.;
    • Products that have been tampered with, modified or repaired without prior written authorization from Katoa;
    • Damage resulting from accidents or unforeseen circumstances, including falls, impacts, exposure to dust, liquids, inadequate ventilation, extreme weather conditions, electrical discharges or acts of vandalism;
    • Electronic components, power supplies, transformers and lamps sold separately and applied under conditions unknown to Katoa;
    • Color changes in LED modules, as long as the measured values ​​remain within the technical tolerances specified for the product;
    • Anomalies caused by abnormal electrical conditions, such as current peaks, overvoltages, undervoltages or electrical controls that do not comply with reference standards.

 

V. Complaints and Warranty Request Process

  1. Activation of the warranty requires the submission of a formal written complaint, accompanied by the purchase invoice.
  2. Warranty validation may be subject to a technical analysis to identify the cause of the failure.
  3. Katoa reserves the right to verify compliance with all warranty requirements and may use all methods and tools necessary for this verification.
  4. After confirmation that the situation is covered by the warranty, the issue will be resolved within 10 to 30 days, unless otherwise specifically agreed between the parties.

 

 

VI. Warranty for Repaired or Replaced Products

  1. In the event of a complete replacement of a product, the new unit benefits from a warranty equal to that of the original product.
  2. If the product is repaired, the original warranty remains in effect, with a new warranty only being applicable to the components that were replaced or worked on.
